General Terms and Conditions (GTC)
FinOptima – Coaching | Consulting | Training
Effective: February 2026
1. Scope of Application
These General Terms and Conditions (GTC) apply to all services provided by FinOptima, including but not limited to coaching, consulting, training, facilitation, and development programs. They form an integral part of all contracts concluded between FinOptima and its clients, participants, or cooperation partners.
Conflicting terms and conditions of the client shall only apply if explicitly acknowledged in writing by FinOptima.
2. Conclusion of Contract
A contract is concluded through a written offer from FinOptima and its acceptance by the client, whether by email, letter, signed confirmation, or by actual use of the agreed service.
3. Scope of Services
The type, scope, and objective of the services are defined in the respective offer, program, or agreement. FinOptima undertakes to provide services diligently and professionally according to the latest standards but does not guarantee any specific outcomes.
FinOptima reserves the right to adjust contents, methods, tools, or personnel involved as long as the agreed objectives are maintained.
4. Fees & Payment Terms
All fees are quoted in Swiss Francs (CHF) and are exclusive of applicable VAT unless stated otherwise. Expenses, travel costs, accommodation, and material charges are billed separately unless expressly included in a flat rate.
Invoices are issued in accordance with the contractual agreement, generally prior to service delivery or after defined project phases. Payment is due within 14 calendar days of the invoice date, without deduction.
If payment is not received on time, the client will be in default without prior reminder. FinOptima is entitled to charge default interest of 5% p.a. and a flat reminder fee of CHF 20.00 per level. Further legal action and collection procedures remain reserved.
Offsetting with counterclaims and retention of payments by the client are excluded unless such claims are legally established or undisputed.
In case of default, FinOptima reserves the right to suspend further services until full payment has been received.
5. Cancellation & Postponement
Confirmed bookings may be cancelled or postponed under the following conditions:
- Up to 30 days before the event: free of charge
- 29–15 days before the event: 50% of the agreed fee
- 14–0 days before the event: 100% of the agreed fee
In the event of cancellation due to illness or accident, an alternative solution may be arranged upon presentation of a medical certificate.
FinOptima reserves the right to postpone sessions in exceptional cases (e.g., illness, force majeure) and will offer a replacement date at the earliest convenience.
6. Confidentiality & Data Protection
FinOptima undertakes to treat all information disclosed during the cooperation confidentially and to comply with applicable data protection laws. Recording or sharing of training content by participants is not permitted without prior written consent.

7. Intellectual Property & Usage Rights
All materials, concepts, methods, presentations, and content provided by FinOptima are protected by copyright. Any reproduction, distribution, or use beyond the agreed purpose is prohibited without express permission.
Usage rights for any recorded content require a separate agreement.
8. Liability
FinOptima shall only be liable for damages caused intentionally or through gross negligence. Liability for indirect damages, consequential losses, lost profits, or third-party claims is excluded.
Coaching and training services are not a substitute for medical, therapeutic, or psychological treatment. Participants act on their own responsibility during and after the engagement.
9. Jurisdiction & Applicable Law
Swiss substantive law shall exclusively apply. The place of jurisdiction for all disputes shall be the registered office of FinOptima in 5737 Menziken AG, Switzerland. FinOptima may also bring action at the client’s place of business.
10. Final Provisions
Should any provision of these GTC be invalid or become invalid, the remaining provisions shall remain unaffected. Amendments and additions must be made in writing.
